Terms & Conditions
These Terms & Conditions apply to any individual or entity engaging with Larkspire Inc LTD.
By instructing us to proceed with work, signing an Order Form or making payment, you agree to be bound by these Terms.

1. Introduction
These Terms apply to the Client, referred to as you or your, and Larkspire Inc LTD, referred to as we, us or our. They form part of each agreed project or service engagement.
2. Quotations, scope and agreements
2.1 Quotations
- Quotations are valid for 90 days unless withdrawn earlier
- Prices are stated in GBP and exclude VAT
- We may amend pricing where the scope changes
2.2 Scope of work
- Work is defined in an Order Form, proposal or written communication
- Work outside the agreed scope is quoted separately
- The Client must approve the scope before work begins
2.3 Acceptance
Acceptance occurs when an Order Form is signed, payment is made or written confirmation to proceed is given.
3. Payments
3.1 Payment methods
- Bank transfer
- Debit or credit card
- Direct Debit
- Stripe for subscriptions and online payments
3.2 Project payments
- Full payment may be required upfront unless otherwise agreed
- Staged payments may instead be set out in an Order Form
3.3 Ongoing services
Hosting, maintenance and retainers may be billed monthly, quarterly or annually, automatically through Stripe or another agreed payment method. By subscribing, you authorise recurring payments.
3.4 Late payments
- We may suspend services
- We may withhold deliverables
- We may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998
- If invoices remain unpaid for 60 days or more, we may terminate services and demand immediate payment of outstanding balances
3.5 Hosting and infrastructure fees
- Hosting and infrastructure may incur additional costs
- Fees may be adjusted if usage exceeds expected resource levels
- Clients may terminate hosting with three months’ written notice
- No refunds are provided for unused billing periods
4. Services
4.1 Delivery
We deliver services as set out in the agreed scope, using reasonable skill and care.
4.2 Timeframes
- Timeframes are estimates unless explicitly agreed
- Client delays, including late feedback or missing assets, may affect delivery
4.3 Client responsibilities
- Provide accurate information, content and assets
- Respond in a timely manner
- Ensure supplied materials do not infringe third-party rights
- Review and approve work where required
We are not responsible for errors where approval has been given or feedback has not been provided.
4.4 Revisions
- Minor revisions are included where reasonable
- Significant changes or additional requests are quoted separately
4.5 Third-party services
We may integrate or recommend payment providers, hosting providers, analytics tools and CMS platforms. We are not responsible for their performance, policies or downtime.
4.6 Performance disclaimer
We do not guarantee search engine rankings, traffic increases, conversions, revenue or return on investment. Results depend on external factors beyond our control.
4.7 Hosting and availability
- We aim for high uptime but do not guarantee 100% availability
- Maintenance may occur with prior notice
- Support is not available 24/7 unless covered by a separate service-level agreement
5. Client dashboard and platform access
Where Larkspire Inc LTD provides a client dashboard or platform:
- Access is limited to authorised users
- Clients are responsible for login security
- Analytics and performance data may rely on third-party sources and is indicative
- We may modify dashboard features over time
6. Intellectual property
6.1 Ownership
- Ownership of final deliverables transfers on full payment
- Until payment is complete, all rights remain with Larkspire Inc LTD
6.2 Retained rights
- Larkspire Inc LTD may reuse general frameworks, code libraries and systems
- Larkspire Inc LTD may showcase work in portfolios and marketing unless agreed otherwise
6.3 Access and infrastructure
- Source code or infrastructure access may be restricted while ongoing services are provided
- Full handover is provided after termination and full payment
7. Warranty
- A 30-day warranty period is provided from launch
- The warranty covers genuine defects arising from our work
- The warranty does not cover third-party issues, Client modifications or external integrations
After the warranty period, support is chargeable unless covered by an ongoing agreement.
8. Termination
8.1 Immediate termination
Either party may terminate immediately if the other enters liquidation or administration, or if there is a serious breach of contract.
8.2 Non-payment or non-cooperation
We may terminate services where payment is overdue by 60 days or more, or where the Client fails to cooperate. Outstanding balances remain payable.
8.3 Ongoing services
Either party may terminate ongoing services with three months’ written notice. Services and fees continue during that notice period.
9. Data protection
- The Client is the Data Controller
- Larkspire Inc LTD acts as a Data Processor where applicable
- A separate Data Processing Agreement applies
- The Client is responsible for ensuring GDPR compliance
10. Liability
10.1 Limitation of liability
Larkspire Inc LTD’s total liability is limited to the amount paid for the relevant service.
We are not liable for a failure to perform caused by an extraordinary event or circumstance beyond our reasonable control.
Our total liability for any claim, whether in contract, negligence or otherwise, will not exceed the amount paid for the specific project or service in question.
We do not guarantee that websites, platforms, marketing campaigns or technical support will produce specific leads, revenue, growth or commercial outcomes.
10.2 Exclusions
- Indirect or consequential losses
- Loss of revenue, profits or business
- Third-party failures
- Client misuse or misconfiguration
10.3 Force majeure
We are not liable for failure to perform due to events beyond our control, including technical outages, natural disasters and third-party service failures.
11. Indemnity
The Client agrees to indemnify Larkspire Inc LTD against claims arising from Client-supplied content, breach of intellectual property rights or misuse of delivered work.
12. Non-solicitation
The Client agrees not to directly employ or engage Larkspire Inc LTD staff or contractors for 12 months after the agreement ends.
13. Assignment
We may transfer or assign our rights and obligations to another entity as part of business operations.
14. Severability
If any part of these Terms is found to be invalid, the remaining provisions will remain in effect.
15. Governing law
These Terms are governed by the laws of England and Wales.
16. Privacy
Our Privacy Policy explains how we handle personal data and applies to all interactions with Larkspire Inc LTD.
